{"id":5430,"date":"2016-12-14T22:48:09","date_gmt":"2016-12-15T03:48:09","guid":{"rendered":"http:\/\/www.khpi.org\/blog\/?p=5430"},"modified":"2016-12-17T16:22:23","modified_gmt":"2016-12-17T21:22:23","slug":"state-auditors-report-on-governance-of-uofl-and-its-foundation-relationship-highly-critical","status":"publish","type":"post","link":"http:\/\/www.khpi.org\/blog\/state-auditors-report-on-governance-of-uofl-and-its-foundation-relationship-highly-critical\/","title":{"rendered":"State Auditor&#8217;s Report On Governance of UofL and Its Foundation Relationship Highly Critical."},"content":{"rendered":"<h6>New University and Foundation leadership a breath of fresh air.<\/h6>\n<p>I went to Frankfort today for an early look a<a href=\"http:\/\/www.khpi.org\/blog\/wp-content\/uploads\/2016\/12\/audit-pix-12-14-16.jpg\" rel=\"attachment wp-att-5439\"><img loading=\"lazy\" class=\"size-thumbnail wp-image-5439 alignright\" src=\"http:\/\/www.khpi.org\/blog\/wp-content\/uploads\/2016\/12\/audit-pix-12-14-16-150x92.jpg\" alt=\"audit-pix-12-14-16\" width=\"150\" height=\"92\" srcset=\"http:\/\/www.khpi.org\/blog\/wp-content\/uploads\/2016\/12\/audit-pix-12-14-16-150x92.jpg 150w, http:\/\/www.khpi.org\/blog\/wp-content\/uploads\/2016\/12\/audit-pix-12-14-16-300x184.jpg 300w, http:\/\/www.khpi.org\/blog\/wp-content\/uploads\/2016\/12\/audit-pix-12-14-16.jpg 500w\" sizes=\"(max-width: 150px) 85vw, 150px\" \/><\/a>t the long-awaited result of Kentucky&#8217;s Auditor of Public Accounts of the relationship between the University of Louisville and its investment arm, the University of Louisville Foundation. \u00a0Alas, even before the press conference began, most of the major news outlets in Louisville had already published in-depth reports of the Auditor&#8217;s findings. \u00a0[Their reporters had access to an embargoed early release of the full report. My request for that opportunity went unanswered.] \u00a0My observations of those who spoke or asked questions at the session interpreted the report as highly critical of how the University and Foundation interacted under the administration of Former President James Ramsey\u2013 except for Dr. Ramsey&#8217;s attorney who termed the report a disservice to the community. \u00a0I will not duplicate the reports of\u00a0 Chris Otts of <a href=\"http:\/\/www.wdrb.com\/story\/34046105\/ky-auditor-under-ramsey-university-of-louisville-foundation-lacked-checks-and-balances\" target=\"_blank\">WDRB<\/a>, Tom Loftus of the <a href=\"http:\/\/www.courier-journal.com\/story\/news\/education\/2016\/12\/14\/state-audit-rips-u-l-foundation-ramsey\/95328794\/\" target=\"_blank\">Courier Journal<\/a>, Kate Howard of the <a href=\"http:\/\/kycir.org\/2016\/12\/14\/state-audit-finds-dysfunction-rule-breaking-lack-of-transparency-at-u-of-l-foundation\/\" target=\"_blank\">Kentucky Center for Investigative Reporting<\/a>, Joe Sonka of <a href=\"http:\/\/insiderlouisville.com\/metro\/government\/state-auditor-finds-serious-weaknesses-in-uofl-foundation-governance-under-ramsey-administration\/\" target=\"_blank\">Insider Louisville<\/a>, Kyeland Jackson of the <a href=\"http:\/\/www.louisvillecardinal.com\/2016\/12\/audit-unearths-dysfunction-obfuscation-questionable-financial-deals-university-foundation\/\" target=\"_blank\">Louisville Cardinal<\/a>, \u00a0or whatever other entity picks up this important story; but I encourage my readers to read some of these reports yourselves.\u00a0 You can read a summary <a href=\"http:\/\/www.khpi.org\/blog\/wp-content\/uploads\/2016\/12\/auditor-rpt-summary-12-14-2016.pdf\" target=\"_blank\">handed out<\/a> at the session here, and a <a href=\"http:\/\/www.khpi.org\/blog\/wp-content\/uploads\/2016\/12\/ramsey-resp-12-14-2016.pdf\" target=\"_blank\">rebuttal<\/a> offered by Dr. Ramsey&#8217;s attorney, Steve Pence.\u00a0 The <a href=\"http:\/\/apps.auditor.ky.gov\/Public\/Audit_Reports\/Archive\/2016UofLFoundationExamination.pdf\" target=\"_blank\">full report <\/a>is available on the Auditor\u2019s website. \u00a0It contains \u00a0responses by current leadership of the University and Foundation, a response by Former President Ramsey, and a rebuttal to that response by the Auditor&#8217;s office. \u00a0A <a href=\"https:\/\/livestream.com\/AuditorKY\/events\/6752873\/videos\/144433612\" target=\"_blank\">video<\/a> of the conference is also available. I have just begun to analyze the full report\u00a0myself. At least read its <a href=\"http:\/\/www.khpi.org\/blog\/wp-content\/uploads\/2016\/12\/executive-summary-uol-audit-2016.pdf\" target=\"_blank\">Executive Summary<\/a>, duplicated here, which contains specific recommendations. The summaries look rather damming to me, as was in my opinion the whole presentation by Auditor Mike Harmon.<!--more--><\/p>\n<p><strong>Not just the press found UofL opaque and uncooperative.<br \/>\n<\/strong>Prominent in the presentation by Auditor Harmon were references to the lack of cooperation or worse on the part of the University and Foundation with numerous delays, incomplete and unclear responses, and missing documents to the point that it was difficult for the auditors to have confidence in the University partners. \u00a0Evidence of likely active resistance was seen in a memo mistakenly attached to one document. \u00a0To the considerable credit of the new leadership of University President Neville Pinto and Foundation Chair Brucie Moore, the Auditor&#8217;s frustrations fell away immediately following the departure of Dr. Ramsey and his chief supporters. [This proves my point that <a href=\"http:\/\/www.usatoday.com\/story\/opinion\/2016\/02\/09\/letter-ramsey-making-mess-worse\/80048800\/\" target=\"_blank\">leadership style starts at the top!<\/a>]\u00a0 No journalist in the room would disagree about the difficulty in extracting information from the University and Foundation in the past. \u00a0We are promised better in the future, but the future is by definition unrevealed.\u00a0 For now, I am expecting the best, but still having to file open-record requests.<\/p>\n<p><strong>The rewards of dysfunction.<\/strong><br \/>\nPresident Pinto and Chairwoman Moore both attended the press conference.\u00a0 Their cooperation was applauded by Auditor Harmon, and both offered brief comments that both accepted criticisms and promised a brighter future looking forward to restoring public trust and confidence. \u00a0I personally believe them.<\/p>\n<p><strong>Q&amp;A and more.<\/strong><br \/>\nThere was a good bit of time for question and answers. We were told that governance and not financial details were the targets of the audit\u2013 although some financial dealings appeared to be inappropriate including unauthorized supplements to salaries and the infamous &#8220;loans&#8221; by the University to other entities. No specific referrals were made to law enforcement, but that was said not to be a goal. Nevertheless, comments in the full report highlight items that the Auditor thought might raise &#8220;legal questions&#8221; such as when &#8220;it appears the use of Foundation funds was designed to circumvent advice from University legal counsel&#8221; to pay salary supplements to University staff. \u00a0In my opinion this comment is in itself a showstopper providing insight into the management style of the previous administration. \u00a0A marked lack of checks and balances in the administrative structure was a common theme. \u00a0It was Dr. Ramsey&#8217;s show. \u00a0\u00a0It was said that there was no coordination with Governor Bevin before or during the audit. The University must pay a minimum of $186 thousand to pay for the audit. No opinion was rendered about claw-back of unauthorized salaries. I will look through the whole report to identify relevant items not included in the summaries.<\/p>\n<p><strong>A Dysfunctional Board?<\/strong><br \/>\nAuditor Harmon denies coordination with Governor Bevin before or\u00a0during\u00a0his analysis of the governance structures of the University, and I have no\u00a0reason to doubt that, but he unavoidably reinforces the Governor&#8217;s agenda by adopting\u00a0the Governor&#8217;s characterization of\u00a0the University Board of Trustees as &#8220;dysfunctional.&#8221; \u00a0Naming a thing owns a thing. \u00a0This is the language the Governor used as his excuse for dismissing the entire UofL Board of Trustees and attempting to replace it with a hand-picked board of his own. That failed effort resulted in the University being placed on probation.
